Job Title: Corporate Paralegal – Real Estate

Assignment Type: Direct Hire

Pay: $90,000 annually + year-end bonus

Work Schedule: Monday–Friday, 9:00 AM–5:00 PM | 100% On-Site

Job Description:

Our client is seeking an experienced Corporate Paralegal with a background in real estate to join its Chicago office. This position will provide hands-on support across corporate and transactional matters, including entity management, business filings, due diligence, closings, and corporate governance.

The ideal candidate will bring 3–5 years of corporate paralegal experience along with exposure to real estate matters. This is an excellent opportunity for someone who enjoys working within a smaller firm environment where they can have direct interaction with attorneys and take ownership of their work.

 

Key Responsibilities:

  • Prepare and submit corporate formation and governance documents, including organizational filings, resolutions, and related business records.
  • Maintain corporate records, minute books, and entity documentation to ensure information remains complete and current.
  • Assist attorneys with transactional matters involving mergers, acquisitions, dissolutions, and other corporate activities.
  • Provide paralegal support for real estate and related business transactions.
  • Coordinate due diligence materials and organize documentation throughout the transaction and closing process.
  • Prepare and maintain closing documents, transaction files, and final closing binders.
  • Track corporate entities and ongoing compliance requirements across multiple jurisdictions.
  • Assist with regulatory and corporate filings, including applicable securities-related documentation.
  • Maintain calendars and deadlines associated with entity registrations, filings, and compliance requirements.
  • Conduct research and gather corporate information as requested by attorneys.
  • Work closely with attorneys and other legal support professionals to manage multiple priorities and deadlines.

 

Qualifications:

  • 3–5 years of corporate paralegal experience within a law firm or legal environment.
  • Prior real estate experience is required .
  • Strong understanding of corporate entities, governance documents, and business filing requirements.
  • Experience supporting corporate transactions, due diligence, and closings.
  • Exceptional attention to detail and organizational skills.
  • Ability to manage multiple assignments and deadlines in a fast-paced legal environment.
  • Strong written and verbal communication skills.
  • Proficiency with Microsoft Excel and other Microsoft Office applications.
  • Comfortable working with document management systems, databases, and legal technology.
  • Ability to work collaboratively with attorneys and fellow support staff.

 

Additional Details:

  • This is a newly created position due to continued growth.
  • Will work alongside another paralegal while supporting approximately 10–12 attorneys.
  • Position is 100% on-site in downtown Chicago.
